[Ukrainian Association of Fukuoka Prefecture “UAFukuoka”] Charter

 

Chapter 1 General Provisions

(Name)

Article 1.

The name of the Association shall be [Ukrainian Association of Fukuoka Prefecture “UAFukuoka”].

The short name of the Association shall be [UAFukuoka].

 

(Headquarters)

Article 2.

The headquarters of the Association shall be located at Fukuoka-ken, Fukuoka-shi.

However, the Chairman, Vice Chairman, Secretary and Treasurer may use their home addresses for their activities.

 

(Purpose)

Article 3.

The purpose of the Association shall be to support, coordinate activities of Ukrainians in Fukuoka Prefecture to sustain and develop the relationship between Japan and Ukraine.

 

Objectives of the organization:

  • Protect human rights and promote peace
  • Introduce Ukrainian culture to people of Fukuoka prefecture
  • Facilitate educational and scientific relations between institutions of Fukuoka Prefecture and Ukraine
  • Support Ukrainians in Fukuoka Prefecture and Japan

Chapter 2 Membership

(Membership)

Article 4.

The Association shall consist of the following members

  1. Regular members: Ukrainians (current or former citizens of Ukraine) living in Fukuoka Prefecture.
  2. Affiliate members: Individuals and organizations agreeing with the objectives of the association and recommended by the regular members, and who have been approved by the general meeting. 
  3. Honorary members: Individuals who have made significant contributions to the Association and have been nominated by regular members and approved by the general meeting.

Chapter 3 Activities

(Activities)

Article 5. 

The Association shall carry out the following activities in order to achieve the objectives set forth in Article 3.

  1. Organize events to protect human rights and promote peace
  2. Organize events introducing Ukrainian culture to people of Fukuoka Prefecture
  3. Coordinate educational and scientific relations between institutions of Fukuoka Prefecture and Ukraine
  4. Support Ukrainians in Fukuoka prefecture and Japan
  5. Hold general meetings and social gatherings for members of the Association
  6. Other matters deemed necessary.

(Board meeting)

Article 6.

6-1 The Chairman shall hold a meeting of the Board Members as necessary to

  1. Deliberate on the agenda of the General meeting
  2. Planning and management of the activities of the Association.

6-2 The Chairman may convene a board meeting as necessary, which can make the following decisions

  1. Organization of events by the Association
  2. Participation of the Association in other events
  3. Use of extra funds

(General meeting)

Article 7. 

7-1 The Chairman shall convene an ordinary general meeting once a year promptly after the end of the fiscal year, which shall make the following decisions

  1. Determination of activities for the new fiscal year
  2. Determination of annual membership fees
  3. Determination of income and expenditure budget and approval of financial reports 
  4. Election of board members
  5. Other matters deemed necessary

7-2 The Chairman may convene an extraordinary general meeting as necessary.

7-3 In cases where it is difficult to hold a general meeting in assembly form (e.g. COVID-19, etc.), it is possible to hold the meeting in mail form, online or concurrently.

 

(Chairman of the General meeting and Resolutions)

Article 8.

The Chairman shall preside the General meeting, and decisions shall be made by a majority of participants including proxies. In the event of a tie, the chairperson shall decide.

 

Chapter 4 Board members and Committee members

(Board members)

Article 9.

9-1 The Association shall have the following board members

  • Chairman: 1
  • Vice-Chairman: 1-2
  • Advisor: 1-2
  • Recording Secretary: 1
  • Treasurer: 1
  • Officers: 3
  • Auditor: 1-2

Honorary Chairman may be appointed with the approval of the General Assembly.

Advisors and auditors can be members of the Board or can be invited for determined period by a decision of Board members.

9-2 In addition to the board members mentioned in the preceding paragraph, there may be committee members.

 

(Duties of Board members and Committee members)

Article 10.

The duties of Board members and Committee members shall be as follows

  • Chairman: The Chairman shall represent the Association and shall be responsible for all matters relating to the smooth accomplishment of the objectives of the Association.
  • Vice Chairman: Assist the Chairman and act for the Chairman in his/her absence.
  • Advisor: Advises the Board members on important matters.
  • Recording Secretary: Keeps track of the communication and activities of the Association.
  • Treasurer: Manages the Association’s cash receipts and disbursements, and prepares a financial report.
  • Officers: Part of the Board members in charge of planning and managing the Association activities within 3 directions: education and science, organizing cultural and mass events, socio-economic.
  • Auditor: Audits the financial report before the general meeting.
  • Committee members: Attend the Board of Directors meetings and plan and manage the Association

(Appointment and Term of Board members)

Article 11.

The board members stipulated in Article 9, Clause 1 shall be appointed at the Ordinary General meeting, and their term of office shall be until the next Ordinary General meeting. 

The members of the Committee referred to Article 9, Clause 2 shall be appointed by the Chairman.

 

Chapter 5 Accounting

(Fiscal year)

Article 12.

The fiscal year of the Association shall begin on January 1 and end on December 31 of each year. 

 

(Membership Fees)

Article 13.

All members are encouraged to pay membership fee. However, it is not mandatory.

 

(Determine the membership fee)

Article 14.

Regular and extraordinary membership fees shall be determined at the General meeting in consideration of various circumstances.

 

(Expenditures)

Article 15.

Expenditures of membership fees shall be limited to the following items. However, this shall not apply to items approved by the General meeting.

  1. Humanitarian and Reconstruction Assistance to Ukraine 
  2. Purchase of humanitarian supplies and products
  3. Support for evacuees, refugees, etc.
  4. Support for the life and activities of Ukrainians in Japan
  5. Expenses for maintenance of the Association (publication and maintenance of newsletters)
  6. Other matters deemed necessary

Chapter 6 Auxiliary Provisions

(Amendments to the Charter)

Article 16.

Amendments to the Charter shall be decided by a majority vote of present at the General meeting including proxies.

 

(Acceptance of New Members)

Article 17.

17-1 Acceptance of regular members shall be made at the Ordinary General meeting immediately prior to their admission.

17-2 Affiliate members and honorary members shall be accepted immediately after approval by the General meeting.

 

(Change of member’s registration details)

Article 18.

Members who change their name, address, or place of employment shall notify the headquarters of the Association as soon as possible.

 

(Compliance with laws and ordinances)

Article 19.

The Association shall operate in accordance with the laws of Japan.

 

(Supplementary provisions)

Article 20.

2022-05-16 – creation of the document. Establishment of the Association.

2022-05-02 – approval of the Association title.

Education and Science
Roman Selyanchun

Born in Uzhhorod, Ukraine. Graduated with a degree of Master in physics from Uzhhorod National University in 2003. From 2009 to 2012 took a course and obtained the Ph.D. degree in Engineering from the Department of Environmental Engineering of The University of Kitakyushu (Japan). Since 2014, researcher in the Kyushu University (Fukuoka, Japan). Research interests: nanotechnology, nanofabrication, gas separation, carbon dioxide capture.
